Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Sage Education, Inc. (“Sage,” “we,” “our,” or “us”). They govern your use of the Sage website, applications, AI-powered learning experiences, parent tools, learning reports, parent messaging features, and related services (collectively, the “Services”).

In these Terms, “you” means the adult who accepts these Terms. A “Child User” is a child whom an authorized adult permits to use the Services through a family account. A Child User does not enter into this agreement directly.

By accessing or using the Services, creating or joining a family account, clicking to accept these Terms, purchasing a subscription, or permitting a Child User to use the Services, you agree to these Terms. If you do not agree, do not create or join an account or use the Services.

1. Adult Eligibility and Parental Authority

You must be at least 18 years old, have the legal capacity to enter into this agreement, and have authority to use the Services for the family. Only a child's parent or legal guardian (or another person treated as a parent under applicable law) may create that Child User's profile or provide the parental consent Sage requires.

Children may use the Services only through an adult-managed family account and with the permission and reasonable supervision of an authorized adult. Children may not create or control an adult account. Sage is designed primarily for children ages 4 through 8, but you are responsible for deciding whether the Services are appropriate for a particular child.

If you invite another adult to a family account, that adult must separately accept these Terms. Adding someone to a family does not allow you to accept these Terms on that adult's behalf. An invited adult may use authorized family features after joining, but does not provide parental consent merely by joining the family.

2. Accounts and Family Access

You agree to provide accurate, current information and keep it up to date. You are responsible for safeguarding your login credentials and for activity under your account. Please notify us promptly at support@sageteacher.ai if you believe an account has been accessed without permission.

Family accounts are for personal, noncommercial family use. You may not share adult credentials with a child or anyone outside the authorized family, sell or transfer account access, or use a family account for a school, tutoring business, or other organization without a separate written agreement with Sage.

You are responsible for keeping family membership and contact information current, including removing access when a person is no longer authorized to view the family's information. Different authorized adults may have access to shared family and child learning information as described in our Privacy Policy.

A parent email or text conversation is associated with the individual adult who receives or enrolls in that messaging channel and is not automatically shared with another adult in the family. Sage may still use authorized shared family learning context to answer that parent's questions.

3. What Sage Provides

Sage provides educational conversations, activities, learning progress information, reports, and tools that help parents understand and support their children's learning. Some features require an active trial or paid subscription.

Sage uses artificial intelligence to generate tutoring interactions, learning materials, reports, and replies to parent questions in the app, by email, or by text message. AI-generated content may be incomplete, inaccurate, unexpected, or inappropriate despite our safeguards. Parent messaging replies are generated by AI and are not continuously reviewed by a person. Please use reasonable adult oversight and independently verify information before relying on it for an important decision.

The Services supplement, but do not replace, a parent, teacher, school, professional assessment, or individualized educational advice. Sage is not an accredited school, does not award academic credit, and does not guarantee any particular educational result.

The Services do not provide medical, mental-health, legal, or other professional advice and must not be used for emergencies. Contact emergency services or an appropriate qualified professional when needed.

4. Limited License and Sage Materials

Subject to these Terms, Sage grants you and your authorized Child Users a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable right to access and use the Services for noncommercial family learning purposes while your account is eligible to use them.

Sage and its licensors own the Services and all related software, designs, characters, curriculum, activities, text, graphics, audio, video, trademarks, and other materials we provide (“Sage Materials”), including all intellectual property rights in them. Except for the limited right above, these Terms do not transfer any ownership or license in Sage Materials.

5. Family Content and Feedback

You retain any rights you have in messages, responses, and other content that you or a Child User submits through the Services (“Family Content”). You grant Sage a limited license to host, reproduce, process, transmit, and display Family Content only as reasonably necessary to provide, maintain, secure, support, and improve the Services in accordance with our Privacy Policy and COPPA Policy. This license ends when the content is deleted from our active systems, except for limited legal or protected-backup retention described in those policies.

You represent that you have the rights and authority needed to submit Family Content and that it does not violate the law or another person's rights. Please do not submit information that is unnecessary for a child's learning or that you are not authorized to share.

If an adult voluntarily gives Sage product ideas or feedback, Sage may use that feedback without restriction or compensation. This feedback permission does not apply to private child information, learning records, or Family Content merely because it passes through the Services.

6. Acceptable Use

You and your authorized users may not:

  • use the Services unlawfully or to exploit, endanger, harass, threaten, or harm another person;
  • submit content that infringes intellectual property, privacy, or other rights, or that contains malware or harmful code;
  • impersonate someone, misrepresent your authority over a child, or access another person's account or family information without permission;
  • interfere with the Services, evade safety or security controls, probe for vulnerabilities, or attempt to discover confidential prompts, instructions, or security mechanisms;
  • scrape, crawl, use unauthorized automation, or collect data from the Services except through features Sage provides for that purpose;
  • copy, modify, reverse engineer, decompile, resell, sublicense, or commercially exploit the Services or Sage Materials except where applicable law expressly permits it; or
  • use the Services or their output to develop or train a competing product or model.

We may investigate suspected misuse and take reasonable steps to protect children, families, Sage, and others. In doing so, we will consider a Child User's age and the context of ordinary learning use.

7. Trials, Subscriptions, and Billing

The checkout screen will show the current subscription price, billing period, trial terms (if any), and other material purchase terms before you subscribe. Prices do not include taxes unless we say otherwise.

Automatic renewal. Unless you cancel before the renewal date, a paid subscription automatically renews for the billing period shown at checkout, and Sage or the applicable app store or payment provider will charge the payment method on file at the then-current price plus applicable taxes.

Trials. If your offer includes a trial, the trial automatically converts to a paid subscription on the date shown at checkout unless you cancel before then. Eligibility and duration may vary by offer, and Sage may limit trials to one per person, household, or family account.

Payment providers.Web subscriptions are processed through our payment provider, and subscriptions purchased in an app are processed by the applicable app store. Your purchase is also subject to that provider's payment and refund terms. You authorize Sage and the provider to charge the payment method you supply. We may suspend paid features if a charge fails.

Cancellation. Cancel through the same provider you used to subscribe: manage a web subscription through the Sage billing settings or linked billing portal, and manage an App Store subscription through your Apple subscription settings. You may also contact support@sageteacher.ai for help. Cancellation generally takes effect at the end of the current paid period, and you may retain access until then.

Deleting a Sage account does not necessarily cancel a subscription managed by an app store or other payment provider. Cancel the subscription with the provider before deleting the account to avoid future charges.

Except where required by applicable law or expressly stated in a specific offer, payments are nonrefundable and we do not provide credits or prorated refunds for a partially used billing period.

We may change subscription prices or terms. We will provide notice before a price change applies to a renewal when required by law. You may cancel before the change takes effect.

8. Optional Text Messaging

Sage's text-message program is optional. Accepting these Terms, creating an account, or buying a subscription does not enroll you in text messages. Other than a one-time confirmation message, we send session notices and conversational texts only after a separate opt-in and phone-number confirmation. Consent to texts is not a condition of purchase.

If you opt in, Sage may send up to one notice per completed Sage session and may exchange messages with you when you text Sage about your children's learning. Message frequency varies with completed sessions and your messages. AI-generated replies may use relevant family learning context and conversation history as described in our Privacy Policy.

Message and data rates may apply. Reply HELP for help. Reply STOP, CANCEL, or UNSUBSCRIBE, or otherwise clearly tell us that you want texts to stop, to withdraw consent. You may also contact support@sageteacher.ai. We may send one non-marketing message confirming your opt-out.

You must own or be authorized to use the phone number you enroll and must tell us if that number changes or is reassigned. Text delivery depends on mobile carriers and networks and may be delayed or unavailable. Carriers are not liable for delayed or undelivered messages. The program is currently intended for supported United States and Canadian phone numbers. We may modify or discontinue the program upon reasonable notice.

9. Email and Electronic Communications

You agree that Sage may communicate electronically about your account, billing, security, the Services, and your family's learning. Some learning-report emails allow an authorized parent to reply and have a private, asynchronous AI-generated conversation with Sage. You are responsible for keeping your email address current and for protecting access to your email account.

Electronic notices satisfy any requirement that a communication be in writing to the extent permitted by law. Any separate choice about promotional communications is governed by the applicable opt-in or opt-out process and our Privacy Policy.

10. Privacy and Children's Information

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information. Our COPPA Policy provides additional information about children's privacy, parental consent, and parental rights. Those policies are incorporated into these Terms.

An authorized parent may request access to or deletion of a child's personal information, or ask us to stop further use or collection, as described in those policies. If these Terms conflict with a commitment in the Privacy Policy or COPPA Policy concerning personal information, the more protective privacy commitment will control for that information.

11. Third-Party Services

The Services rely on third-party providers for functions such as payment processing, app distribution, cloud hosting, artificial intelligence, email, and text delivery. Your use of a third-party product or service may be governed by that provider's terms and privacy practices. Sage is not responsible for third-party products or services that we do not control, but we remain responsible for our own obligations under these Terms and applicable law.

Links to third-party websites are provided for convenience and do not imply endorsement. You are responsible for internet access, compatible devices, and any carrier or data charges needed to use the Services.

12. Service Changes and Availability

We may update the Services to improve learning, safety, security, or functionality and may add, change, or remove features. We will provide reasonable notice when practical if a change materially reduces a paid Service. We may also limit or discontinue features that create legal, safety, or security risk.

We work to keep Sage available, but the Services may sometimes be interrupted, delayed, or unavailable. We are not responsible for delays or failures caused by events outside our reasonable control, including internet, carrier, app-store, cloud-provider, or device failures.

13. Suspension, Termination, and Account Deletion

You may stop using the Services at any time and may request account deletion through available account controls or by contacting support. Subscription cancellation and account deletion are separate actions; see Section 7 before deleting an account.

We may restrict, suspend, or terminate access if we reasonably believe there has been a material violation of these Terms, nonpayment, fraud, unauthorized access, or a threat to a child, another person, or the security or operation of the Services. When appropriate, we will provide notice and a reasonable opportunity to correct the issue.

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, payment obligations, disclaimers, liability, disputes, and general terms. Personal information is retained and deleted as described in our Privacy Policy and COPPA Policy.

14. Disclaimers

To the fullest extent permitted by law, the Services and Sage Materials are provided “as is” and “as available.” Sage disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement.

We do not warrant that the Services will always be available, secure, error-free, or accurate, that defects will always be corrected, or that use of the Services will produce a particular learning result. Nothing in these Terms excludes any warranty or consumer right that cannot lawfully be excluded.

15. Limitation of Liability

To the fullest extent permitted by law, Sage and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or the cost of substitute services, arising out of or relating to the Services or these Terms.

To the fullest extent permitted by law, the total liability of Sage and those parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of $100 or the amount you paid to Sage for the Services during the 12 months before the event giving rise to the claim.

These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. They do not limit liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

16. Indemnity

To the extent permitted by law, you agree to indemnify and hold Sage and its officers, directors, employees, and agents harmless from third-party claims, damages, and reasonable costs arising from your intentional misuse of the Services, content you submit in violation of another person's rights, or your material breach of these Terms. You are not required to indemnify Sage for a Child User's ordinary supervised use of the Services or for a claim caused by Sage's own conduct.

17. Changes to These Terms

We may update these Terms as the Services or the law changes. The “Last Updated” date shows when this version became effective. For material changes, we will provide reasonable notice by email, through the Services, or by another appropriate method before the change takes effect. When required, we will ask an adult to accept the revised Terms.

If you do not agree to revised Terms, you must stop using the Services and cancel any subscription before the revisions take effect. Otherwise, your continued use after the effective date constitutes acceptance to the extent permitted by law. Changes do not apply retroactively unless required by law or expressly agreed by both parties.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. This choice of law does not limit any consumer protection right that cannot lawfully be waived under the laws of your state, province, or country of residence. A dispute may be brought in any court that has lawful jurisdiction, including an eligible small-claims court.

19. General Terms

These Terms, the Privacy Policy, the COPPA Policy, and any additional terms shown for a specific Service or purchase are the entire agreement between you and Sage concerning the Services. If specific purchase terms conflict with these Terms, the specific purchase terms control for that purchase.

You may not assign or transfer your rights under these Terms without our written consent. Sage may assign these Terms as part of a merger, financing, reorganization, sale of assets, or by operation of law, provided that the assignment does not reduce your nonwaivable rights. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. Section headings are for convenience only.

These Terms do not create any third-party beneficiary rights and do not create an employment, agency, partnership, or joint-venture relationship between you and Sage.
